Professional manufacturing partnership terms and conditions for B2B furniture procurement and OEM/ODM services.
Agreement Overview
These Terms of Service ("Terms") govern the business relationship between SeatMax Manufacturing Co., Ltd. ("SeatMax", "we", "us", "our") and professional furniture buyers, wholesalers, distributors, and retailers ("Client", "you", "your") for the procurement of plastic seating solutions and related OEM/ODM manufacturing services.
By engaging in business activities with SeatMax, including but not limited to requesting quotations, placing orders, or entering into purchase agreements, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Order Process & Requirements
Minimum Order Quantities
Order Confirmation: All orders require written confirmation via official purchase order with detailed specifications, quantities, delivery requirements, and agreed pricing.
Lead Times: Standard products: 15-25 working days; Custom development: 35-45 working days from mold approval; Rush orders subject to capacity and additional charges.
Modifications: Order changes must be requested in writing within 48 hours of confirmation. Changes after production commencement may incur additional costs and delivery delays.

Additional Costs
- Mold development: $8,000-$15,000 per model
- Sample development: $200-$500 per piece
- Rush delivery surcharge: 10-20%
- Special packaging: Cost plus 15%
Currency & Pricing: All prices quoted in USD, FOB Shenzhen/Guangzhou. Prices valid for 30 days unless otherwise specified. Raw material price fluctuations may affect final pricing for orders placed beyond quotation validity period.

Quality Guarantee: All products carry a 5-year structural integrity warranty under normal commercial use conditions. This covers material defects and manufacturing flaws but excludes normal wear, misuse, or damage from excessive loads.
Inspection Rights: Clients may arrange third-party inspection at our facility before shipment. Inspection costs borne by client unless defect rate exceeds agreed AQL standards.
Defect Resolution: Products not meeting specifications will be replaced or credited at SeatMax's discretion. Claims must be reported within 30 days of delivery with photographic evidence.
Intellectual Property & Confidentiality
Design Rights
SeatMax retains all rights to proprietary designs, manufacturing processes, and technical specifications. Custom designs developed for clients become joint intellectual property, with exclusive manufacturing rights granted to SeatMax and exclusive distribution rights to the commissioning client within agreed territories.
Confidentiality
Both parties agree to maintain strict confidentiality regarding pricing, technical specifications, business strategies, and customer information. This obligation continues for 3 years after termination of business relationship.
Third-Party Rights
Clients warrant that provided designs do not infringe third-party intellectual property rights and agree to indemnify SeatMax against any related claims. SeatMax will not manufacture products that clearly violate existing patents or trademarks.
Shipping & Risk Transfer
Delivery Terms

FOB Shenzhen/Guangzhou: Standard delivery term. Risk transfers upon loading at port.

CIF/DDU: Available upon request with additional charges for freight and insurance.

Container Loading: 20GP: ~680 chairs; 40HQ: ~1,650 chairs (model dependent).
Documentation
- Commercial invoice and packing list
- Bill of lading (ocean) / AWB (air)
- Quality certificates and test reports
- Origin certificate (if required)
Force Majeure: SeatMax shall not be liable for delays or non-performance due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, labor disputes, or supply chain disruptions. Delivery dates will be extended accordingly with prompt notification to clients.
Limitation of Liability
Liability Cap: SeatMax's total liability for any claim arising from or related to products or services shall not exceed the total amount paid by client for the specific order giving rise to the claim.
Excluded Damages: Under no circumstances shall SeatMax be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, business interruption, or loss of business opportunities.
Time Limitation: Any legal action must be commenced within one (1) year after the cause of action accrues. Claims not brought within this period are permanently barred.
Note: These limitations apply to the fullest extent permitted by applicable law and survive termination of any agreement between the parties.
Governing Law & Dispute Resolution
Applicable Law
These Terms and all business relationships shall be governed by the laws of the People's Republic of China, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply to all sales transactions.
Dispute Resolution
Negotiation: Parties will attempt good faith resolution within 30 days.
Arbitration: Unresolved disputes subject to binding arbitration under CIETAC rules in Shenzhen.
Language: All proceedings conducted in English with Chinese translation as needed.
